5. Service Scope and Delivery

- Blockchain smart contracts and wallets

- Strategic research and consulting
Each engagement will be governed by a separate agreement, proposal, or service contract.
We reserve the right to modify or discontinue services or features at any time for maintenance, security, or improvement purposes.
6. Payments and Pricing
All pricing is defined in individual service proposals, quotations, or invoices.
You agree to:
- Pay all fees as outlined
- Make payments via accepted channels (bank transfer, online payment, etc.)
- Cover any applicable local taxes or processing fees
Late or failed payments may result in service delays, suspensions, or legal recovery measures.
Note: Unless otherwise stated in a contract, all service deposits are non-refundable once work has begun. For details, see our Return & Refund Policy.
7. Intellectual Property
All content, tools, platforms, and documentation developed or shared by OGC NewFinity remain our intellectual property unless explicitly transferred in writing.
You may not:
- Reproduce, redistribute, or resell our code, designs, content, or tools
- Claim ownership over frameworks or templates unless created for your exclusive use
- Use our branding or assets without prior written approval
Clients retain ownership of their submitted data and final deliverables (where agreed in writing).
8. Project Submissions
When submitting a project idea via our Submit Your Idea form, you:
- Affirm that you own the idea or have permission to share it
- Understand that submitting does not grant rights or compensation
- Agree that OGC NewFinity may contact you to explore the opportunity
- Can request an NDA or IP agreement before any formal collaboration
All submitted content remains confidential and will not be shared or published without permission.
9. Acceptable Use
You agree not to:
- Upload or transmit malware, viruses, or malicious code
- Use the site to harass, defame, or threaten others
- Reverse engineer, scrape, or bypass our systems
- Misrepresent your identity or affiliation with any organization
- Violate any applicable law or regulation
Violating this policy may result in suspension of access or legal action.
10. Disclaimers and Limitations
OGC NewFinity provides all services “as is” and does not guarantee:
- That services will meet all expectations or be error-free
- Continuous access or uptime
- Suitability for your specific use unless agreed in a signed contract
To the maximum extent allowed by law, we disclaim liability for:
- Indirect, incidental, or consequential damages
- Business losses, reputational damage, or data corruption
- Delays caused by external service providers or force majeure
Our total liability shall not exceed the amount you paid us in the last 6 months.
11. Termination
We may suspend or terminate your access to services if:
- You breach these Terms
- You misuse or abuse the platform
- Required payments are not fulfilled
Termination will not affect accrued rights, payment obligations, or any provisions that survive termination (e.g., confidentiality, IP rights).
12. Governing Law and Jurisdiction
These Terms are governed by the laws of The Netherlands, with venue in The Hague, unless otherwise stated in a separate agreement.
EU consumer protection laws may also apply depending on your location.
Disputes should first be resolved amicably. If unresolved, they will be submitted to Dutch courts or appropriate EU platforms, such as the ODR Platform.
13. Changes to These Terms
We may update these Terms periodically. When we do, we will update the “Effective Date” at the top of this page.
You are responsible for reviewing these Terms regularly. Continued use of the services implies agreement to the updated version.
